Board Committees And Their Mandate
Section 13 of the Gambling Act empowers the Board to appoint Committees. Section 13 (2) of the Act establishes two (2) statutory Board Committees, namely, the Training and Localisation Committee and the Excessive Gambling Prevention and Rehabilitation Committee. The Board Committees presently are as follows:
- Audit and Risk Committee (ARco);
- Strategy, Policies, Ethics and Social Committee (SPESco); and
- Regulatory, Training and Localisation Committee (REGco); and
- Excessive Gambling Prevention and Rehabilitation Committee (EGPRco).
The Board committees are constituted to align with statutory requirements as per section 13 of the Act
The Act provides that the function of the Excessive Gambling Prevention and Rehabilitation Committee shall be to guide and monitor the development and implementation of programmes and strategies aimed at preventing addictive or compulsive gambling and rehabilitating compulsive gamblers
The Audit and Risk Committee is entrusted with providing independent monitoring and oversight of the effectiveness of specific Board assurance functions provided by external auditors, internal audit, risk management, finance function and combined assurance.
The Committee oversees the review of the Authority’s financial performance in line with corporate strategy and budgets. Furthermore, the Committee also charged with oversight responsibilities of providing direction in the assessment of effectiveness of the Authority’s systems of Risk Management Internal Controls. ARco supports the Board by satisfying itself about how significant findings, made by assurance providers, were addressed by management.
ARco has the following Board delegated powers
- To recommend appointment of the Chief Internal Auditor;
- To approve the Internal Audit Plan;
- To approve the Audit Closeout Letter; and
- To note and approve Liquidity and Financial Sustainability reports.
The Regulatory, Training and Localisation Committee is the Committee entrusted by the Board to fulfil its obligations relating to Regulation of the gambling industry under the Gambling Act as well as ensuring that there is training and localisation of employees and key position for licensees in the Gambling Industry. The Committee is further mandated to empower citizen employees with the requisite skills to localise expatriate held positions in the industry through gambling licenses issued by the Authority.
The Committee is further mandated to :
- Monitor regulatory compliance, training and localisation in the industry to assist the Board in its responsibilities to ensure the empowerment of Citizen employees with the requisite skills to localise expatriate held positions in the gambling industry;
- Ensure the training of staff within licenced entities/operators;
- To regulate and control the development of gambling establishments in Botswana; and
- Oversight and monitoring of licensing conditions of the various types of gambling licenses.
The Strategy and Resources Committee is the Committee entrusted with providing independent supervision, monitoring and oversight of the Board’s commitment to promoting an ethical culture, corporate citizenship and remuneration policy.
The STRATco is responsible for the implementation of the Corporate Strategy, Corporate Scorecard, Human Resource Planning and Succession.
The Committee further ensures that specific transparency reporting and disclosure are provided, among others, in relation to the following:
- Strategy Report and Corporate Scorecard
- Half Year Integrated Report and Annual Integrated Report
- Human Capital report detailing talent management framework.
